These Talent Platform and Candidate Terms of Use (the “Candidate Terms”) constitute a legally binding agreement between you (“Candidate,” “Talent,” “User,” “you,” or “your”) and LaCharme LLC, a Florida limited liability company doing business as Health & Virtuals (“H&V,” “Company,” “we,” “us,” or “our”), governing your access to and use of:

- and all associated systems, applications, assessment environments, training platforms, and operational interfaces (collectively, the “Talent Platform”).
BY REGISTERING, APPLYING, PARTICIPATING IN ANY ASSESSMENT, OR OTHERWISE USING THE TALENT PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE CANDIDATE TERMS.
1. NATURE OF THE TALENT PLATFORM
The Talent Platform is a structured workforce evaluation, development, and engagement system designed to identify, assess, train, and facilitate the placement of qualified professionals with client organizations.
The Talent Platform is not a job board, recruitment listing service, or employment guarantee mechanism. Rather, it is a controlled-entry system involving multi-stage evaluation, classification, and operational alignment processes.
The Company reserves the right, at its sole discretion, to define, modify, or discontinue any component of the Talent Platform, including eligibility criteria, evaluation methodologies, training pathways, and placement processes.
2. ELIGIBILITY AND REGISTRATION
By accessing or using the Talent Platform, you represent and warrant that:
- You are at least eighteen (18) years of age;
- You possess the legal capacity to enter into binding agreements;
- All information submitted by you is accurate, complete, and not misleading;
- You are not impersonating any individual or misrepresenting your identity, qualifications, or experience; and
- Your participation complies with all applicable laws and regulations.
The Company reserves the right to verify identity, qualifications, and background information at any stage and may suspend or terminate access where discrepancies are identified.
3. MULTI-STAGE PLATFORM STRUCTURE
You acknowledge and agree that the Talent Platform operates through multiple structured stages, which may include, without limitation:
- application submission;
- screening and evaluation;
- assessment and testing;
- training and certification;
- client-facing evaluation; and
- placement or engagement.
Data may be collected, generated, and processed at each stage and may be aggregated into a unified evaluation profile.
Progression through each stage is conditional and subject to meeting defined thresholds, performance criteria, and operational requirements as determined by the Company in its sole discretion.
4. ASSESSMENT, EVALUATION, AND PROFILING
The Talent Platform incorporates structured evaluation systems, including scoring, ranking, classification, and eligibility determination mechanisms.
You acknowledge and agree that:
- Your performance may be evaluated using automated and semi-automated systems;
- Such evaluations may influence your progression, eligibility, visibility to Clients, and potential engagement opportunities;
- Evaluation methodologies may include cognitive, behavioral, technical, linguistic, and operational criteria; and
- The Company is under no obligation to disclose scoring methodologies, thresholds, or internal decision logic.
All assessments conducted through the Platform are strictly occupational and operational in nature and do not constitute medical, psychological, or clinical evaluations.
5. ASSESSMENT INTEGRITY AND PLATFORM CONDUCT
You agree to participate in all assessments and evaluations honestly, independently, and in good faith.
You shall not:
- use unauthorized assistance, external tools, or third-party support during assessments unless expressly permitted;
- misrepresent your identity, qualifications, or performance;
- attempt to manipulate, bypass, or interfere with evaluation systems;
- submit plagiarized, falsified, or misleading responses; or
- engage in any conduct that compromises the integrity of the Platform.
The Company reserves the right to monitor, review, invalidate, or reject any assessment results and to disqualify or remove Users from the Platform for any breach of this Section.
6. TRAINING AND DEVELOPMENT PROGRAMS
The Talent Platform may provide access to training, certification, and professional development programs.
Participation in such programs:
- does not guarantee placement, employment, or engagement;
- may be conditional upon prior screening and eligibility;
- may require completion of coursework, assessments, or performance benchmarks; and
- may be terminated at the Company’s discretion.
Certifications issued by the Company reflect internal competency standards and do not constitute professional licensure unless expressly stated.
7. DATA USAGE AND TALENT LIFECYCLE
By participating in the Talent Platform, you consent to the collection, storage, processing, and ongoing use of your data, including:
- application materials;
- assessment results;
- training performance;
- behavioral and evaluation data; and
- derived classification metrics.
Such data may be retained and used for:
- future opportunities or roles;
- re-evaluation or reactivation within the Platform;
- internal analytics, benchmarking, and system optimization; and
- talent pool management.
The Company reserves the right to retain and utilize such data in accordance with its Privacy Policy and applicable law.
8. CLIENT SHARING AND VISIBILITY
You acknowledge and agree that your profile, performance data, and evaluation outputs may be shared with Client organizations for the purpose of evaluation, selection, or engagement.
Such information may include, without limitation:
- professional background and qualifications;
- assessment results and performance indicators;
- ranking, classification, or eligibility status; and
- recorded submissions or evaluation outputs.
The Company does not guarantee that any Client will review, select, or engage you.
9. NO GUARANTEE OF EMPLOYMENT OR ENGAGEMENT
Participation in the Talent Platform does not guarantee:
- selection into any program;
- advancement through any stage;
- placement with any Client;
- employment or contractual engagement; or
- any minimum level of opportunity.
All decisions relating to progression, selection, and placement are discretionary and subject to operational, performance, and Client-specific factors beyond the Company’s control.
Digital labor platforms are not inherently employers and do not automatically create employment relationships .
10. NO EMPLOYMENT RELATIONSHIP
Nothing in these Candidate Terms shall be construed to create:
- an employer–employee relationship;
- an agency, partnership, or joint venture; or
- any entitlement to compensation.
Any employment or engagement relationship shall arise solely through separate written agreements, where applicable.
11. ACCOUNT SECURITY AND ACCESS
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
You agree to notify the Company immediately of any unauthorized access, misuse, or security breach.
The Company shall not be liable for any loss or damage arising from unauthorized use of your account.
12. PLATFORM RIGHTS AND DISCRETION
The Company reserves the right, at its sole discretion, to:
- accept, reject, or remove any User;
- determine eligibility and progression criteria;
- modify or discontinue Platform features or processes;
- suspend or terminate access without notice; and
- invalidate results or outcomes where integrity concerns arise.
No User shall have any vested right to continued participation in the Platform.
13. INTELLECTUAL PROPERTY
All Platform content, systems, methodologies, evaluation frameworks, training materials, and technologies are the exclusive property of the Company.
You shall not reproduce, distribute, reverse-engineer, or otherwise exploit any aspect of the Platform without prior written consent.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company shall not be liable for any loss, damage, or claim arising from:
- your participation in the Talent Platform;
- decisions made based on evaluation outcomes;
- failure to secure placement or engagement;
- technical issues, interruptions, or system limitations; or
- actions of Clients or third parties.
Total liability shall not exceed USD $100.
15. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from any claims arising out of:
- your breach of these Candidate Terms;
- your misuse of the Platform; or
- your submission of false or misleading information.
16. TERMINATION
The Company may suspend or terminate your access to the Talent Platform at any time, with or without notice, for any reason, including violation of these Terms.
17. MODIFICATIONS
The Company reserves the right to modify these Candidate Terms at any time. Continued use of the Platform constitutes acceptance of such modifications.
18. GOVERNING LAW
These Candidate Terms shall be governed by the laws of the State of Florida, United States, and any disputes shall be subject to the exclusive jurisdiction of Florida courts.
